Terms of Use

Effective Date: September 13, 2026
Last Updated: September 13, 2026

These Terms of Use (“Terms”) govern your access to and use of websites, applications, products, and services provided by EmberKeep LLC (“EmberKeep,” “we,” “us,” or “our”), including Beacon.

By creating an account, purchasing a subscription, or using our services, you agree to these Terms.

1. About Beacon

Beacon is an educational support platform designed to help educators organize special education caseloads, monitor student progress, create educational materials and reports, and perform related professional tasks.

Beacon assists educators. It does not replace professional judgment, legally required procedures, individualized educational decision-making, or the responsibilities of schools and educational professionals.

2. Eligibility and Accounts

You must be legally capable of agreeing to these Terms and authorized to use Beacon in connection with your professional role.

You are responsible for maintaining accurate account information, protecting your login credentials, and activity conducted through your account.

You may not share credentials in a manner that permits unauthorized access to student information or other protected information.

3. Student and Educational Information

You are responsible for information you enter, upload, import, generate, or share through Beacon.

You represent that you have the authority and any required permission to provide that information to Beacon and use it with the features you select.

You agree not to enter unnecessary highly sensitive information, including Social Security numbers, financial account information, home addresses, or other information Beacon does not request.

Use of Beacon does not automatically satisfy FERPA, IDEA, state student-privacy laws, district policies, record-retention requirements, or other legal requirements.

You and your organization remain responsible for determining whether your use of Beacon is appropriate and permitted.

4. AI-Generated and Automated Content

Beacon may use artificial intelligence and automated systems to generate suggestions, summaries, educational materials, reports, instructional content, or other outputs.

AI-generated output may be incomplete, inaccurate, inappropriate, or unsuitable for a particular student.

You are responsible for reviewing Beacon's output before using it for educational decisions, official records, communications, reports, IEP-related work, or other professional purposes.

Beacon should not be treated as the sole basis for an educational, placement, eligibility, disciplinary, medical, psychological, legal, or other high-impact decision.

5. Family Communications

If you use Beacon to communicate student information to a parent, guardian, family member, or other recipient, you are responsible for ensuring that the recipient is authorized to receive that information and that the communication complies with applicable policies and requirements.

Verification or other technical safeguards provided by Beacon do not replace your responsibility to select appropriate recipients.

6. Third-Party Services

Beacon may integrate with third-party products and services, including Google services and payment-processing services.

Your use of third-party services may also be governed by the terms and privacy policies of those providers.

We are not responsible for changes, outages, restrictions, or actions of third-party services outside EmberKeep's reasonable control.

7. Acceptable Use

You may not use EmberKeep services to violate applicable law or another person's rights; access information you are not authorized to access; disclose student or other confidential information to unauthorized persons; interfere with or attempt to compromise the security or operation of the service; introduce malicious code; impersonate another person or misrepresent your authorization; attempt to bypass access controls or subscription restrictions; use automated methods to scrape or extract the service except as expressly permitted; or use Beacon to make unlawful discriminatory or otherwise prohibited high-impact decisions.

8. Ownership

EmberKeep and its licensors retain all rights in the Beacon platform, software, branding, designs, and other materials provided by us, except for content owned by users or third parties.

You retain ownership of content you provide to Beacon.

You grant EmberKeep a limited right to process that content as necessary to operate, secure, support, and provide the services you request.

9. Trials, Subscriptions, Billing, and Payments

Beacon may offer free trials, complimentary access, paid subscriptions, or other access arrangements. Available plans, features, prices, and billing intervals will be displayed before purchase.

Free trials. If Beacon offers a free trial, the length and terms of the trial will be disclosed when you begin the trial. Unless otherwise stated at signup, a payment method is not required to begin a free trial. At the end of a trial, access to trial-only features may end unless you purchase an eligible subscription.

Recurring subscriptions. Paid subscriptions are billed on a recurring basis according to the billing interval selected at purchase, such as monthly or annually. By purchasing a recurring subscription, you authorize our payment processor to charge the applicable subscription fee and any applicable taxes at each renewal until you cancel.

Automatic renewal. Unless otherwise disclosed at purchase, paid subscriptions automatically renew at the end of each billing period until canceled.

Cancellation. You may cancel a paid subscription at any time through the subscription-management options provided by Beacon or by contacting support. Unless otherwise stated, cancellation stops future renewals and does not immediately terminate access you have already paid for. You may continue using the applicable paid features through the end of your current paid billing period.

Refunds. Except where required by law or expressly stated otherwise at the time of purchase, subscription payments are non-refundable once charged. We may, at our discretion, issue refunds or credits in exceptional circumstances. Cancellation does not ordinarily result in a prorated refund for unused time remaining in a billing period.

If you believe you were charged in error, contact support@emberkeep.co so we can review the charge.

Failed or declined payments. If a payment cannot be completed, we or our payment processor may attempt to process the payment again. Access to paid features may be limited, downgraded, or suspended if payment remains unsuccessful. You remain responsible for charges properly incurred before cancellation or suspension.

Billing disputes and chargebacks. If you believe a charge is incorrect or unauthorized, please contact us promptly at support@emberkeep.co. Nothing in these Terms limits rights you may have under applicable law or through your payment-card issuer.

We reserve the right to investigate disputed transactions and provide relevant transaction records to our payment processor or financial institutions as reasonably necessary to respond to a dispute.

Price changes. We may change subscription prices in the future. Price changes will not retroactively alter charges already paid. When required, we will provide advance notice before a new price applies to a future renewal, and you may cancel before that renewal.

Taxes. Prices may not include applicable sales, use, transaction privilege, or similar taxes unless expressly stated. Applicable taxes may be collected where required.

Payment processing and security. Payments are processed by third-party payment providers, such as Stripe. EmberKeep does not intend to directly collect or store complete payment-card numbers or card security codes on its own application servers. Payment providers process payment information according to their own terms, privacy policies, and security practices.

Complimentary, pilot, promotional, or trial access may have different eligibility, duration, features, or other conditions communicated when access is granted.

10. Changes to the Service

Beacon is an evolving product. We may add, modify, discontinue, or replace features as the service develops.

We do not guarantee that every feature will always be available or operate without interruption.

11. Beta and Pilot Features

Certain features or accounts may be identified as beta, pilot, preview, or experimental.

Such features may change substantially, contain errors, or be discontinued.

Feedback provided about beta or pilot features may be used to improve EmberKeep products.

12. Suspension and Termination

We may restrict or suspend access when reasonably necessary to protect users, student information, EmberKeep systems, or third parties; investigate misuse; comply with legal obligations; address nonpayment; or enforce these Terms.

You may stop using Beacon at any time, subject to applicable subscription and billing terms.

WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR EVERY EDUCATIONAL OR LEGAL PURPOSE.

BEACON DOES NOT PROVIDE LEGAL, MEDICAL, PSYCHOLOGICAL, OR OTHER LICENSED PROFESSIONAL ADVICE.

14. Limitation of Liability

To the maximum extent permitted by applicable law, EmberKeep LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the services.

To the extent liability cannot lawfully be excluded, EmberKeep's liability will be limited to the extent permitted by applicable law.

Nothing in these Terms excludes rights or remedies that cannot legally be waived.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold EmberKeep LLC harmless from claims, losses, or expenses arising from your unlawful use of the services, your violation of these Terms, or information you provide or disclose without required authorization.

16. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where applicable law requires otherwise.

17. Changes to These Terms

We may update these Terms as our products and services evolve.

We will update the “Last Updated” date when changes are made and provide additional notice when appropriate.

Continued use after updated Terms become effective constitutes acceptance where permitted by law.
